AITD AGM Agenda:

At the AITD Annual General Meeting for members we will share highlights of the year and work through our agenda which includes approving minutes, confirming the auditor, a Constitutional change motion and focus on the year ahead.

  1. Apologies, proxies and declaration of quorum 

  2. Minutes of the 2023 AGM 
    Motion  – To receive and adopt the minutes of the Annual General Meeting for the year ended 30 June 2023. 

  3. National President’s report 

  4. Treasurer’s report 
    Motion – To receive the statement of income and expenditure for the period ended 30 June 2024 and the balance sheet as at 30 June 2024, both duly audited. 

  5. CEO's report 

  6. Appointment of auditors 
    Motion: To continue with Byron Audit Pty Ltd as auditors for the ensuing financial year. 

  7. Constitution changes 

  8. Changes to the AITD constitution have been proposed by the AITD board in respect to section 10, Board composition. 

    As a preface to the proposed changes: 

  • Board members are now elected by their State/Territory to serve on the board for a 3 year period. They may renominate for re-election at the end of the 3 year period.

  • All office bearing positions are spilled at the first board meeting after the AGM and the board votes nominees for those positions each year.  

  • Therefore a limit on the term of an office bearer position is both unnecessary and constraining given the annual board officer bearer election process. 

Sections 10.1 and 10.2 currently read as follows:  

10.1 

The office bearers of the Institute shall be the National President, Vice President, Treasurer and the Company Secretary. No person may hold any one of these offices for more than three (3) consecutive years.  

10.2 

The office bearers of the Institute shall be appointed by the Board at the first meeting following an Annual General Meeting in accordance with the Act. 

It is proposed therefore to amend clause 10.1 as follows, with section 10.2 remaining unchanged. 

10.1 

The office bearers of the Institute shall be the National President, Vice President, Treasurer and the Company Secretary.  

10.2 

The office bearers of the Institute shall be appointed by the Board at the first meeting following an Annual General Meeting in accordance with the Act.

Motion – To accept the outlined change in section 10.1 of the Constitution of the Australian Institute of Training and Development.
